Terms of Business for Buyers
Version 1.0 | Effective 19 June 2026

1. Who we are and what we do
1.1 Jetvexa Limited (“we”, “us”) is registered in England and Wales under number 17285795, at 16-20 Regent Street, Leeds LS2 7QA, United Kingdom.
1.2 We are an independent intermediary. We find suppliers of aircraft landing gear parts, introduce them to buyers, and help negotiate and coordinate transactions between them.
1.3 We are not the seller, manufacturer, exporter or shipper of the parts. We do not hold inventory, take title to parts, issue release certificates or accept payment for parts, unless we state otherwise in writing for a specific transaction.
1.4 “Buyer” means the company or person requesting or ordering parts through us. “Supplier” means the company that offers and sells the parts. “Parts” means the aircraft parts or components described in a Supplier Offer.

2. How a transaction works
2.1 When you send us a request, we approach suppliers and pass you their offers (“Supplier Offers”). Each Supplier Offer states the part number, description, quantity, condition, release certificate type, lead time, price, validity, our commission and the Supplier’s terms.
2.2 The contract for the Parts is between you and the Supplier, on the Supplier’s terms of sale. We are not a party to it. The Supplier’s terms govern price, payment, delivery, title, risk, warranty and returns of the Parts.
2.3 We will give you the Supplier’s terms before you order. You should read them, and by placing an order you accept them.
2.4 Orders are placed with the Supplier, or through us for onward transmission to the Supplier. Payment for the Parts is made to the Supplier, to the bank account shown on the Supplier’s invoice. We do not accept payment for Parts. Our commission is invoiced separately under clause 6.
2.5 Availability and prices are confirmed by the Supplier on the date shown. Parts remain subject to prior sale until the Supplier confirms your order in writing.

3. Information and documents
3.1 Before passing on an offer, we check the Supplier’s documents (release certificate and traceability information) for consistency with the Part, and we offer video verification on request.
3.2 We rely on information and documents given by Suppliers. Our checks do not amount to inspection, certification or a guarantee of the condition, airworthiness or authenticity of any Part.
3.3 You are responsible for deciding whether a Part, its condition and its documents are acceptable to your civil aviation authority, your operator’s procedures and your customers, and for confirming any special documentary requirement to us before the Supplier Offer is issued.
3.4 Photographs and descriptions are for identification only.

4. Verification and inspection
4.1 On request, we will arrange live or recorded video verification of the Part, its tags and paperwork.
4.2 Independent third-party inspection before shipment can be arranged where the Supplier agrees and you request it. Inspection costs are payable by you unless the Supplier or we agree otherwise in writing.

5. Screening, export control and sanctions
5.1 We screen buyers, end users, consignees, agents, banks and suppliers against applicable sanctions and restricted-party lists before each transaction.
5.2 You must give us accurate information about your identity, ownership, the end user, the destination and the end use, and must sign an end-user statement if requested.
5.3 The Supplier is exporter of record and is responsible for export classification, licensing and shipping filings. You are responsible for import licences, permits, customs clearance, duties and local registrations.
5.4 You must not sell, transfer, re-export or divert the Parts contrary to any applicable export-control or sanctions law (including, where applicable, the US Export Administration Regulations), or to any destination, end user or end use not disclosed to us.
5.5 We may decline, suspend or withdraw from any transaction, without liability, if we reasonably believe it would breach any law or sanctions, if screening cannot be completed or reveals an unresolved concern, or if a required licence is not obtained.

6. Our commission
6.1 We charge the Buyer a commission for our sourcing and coordination service. The commission is payable only if a transaction completes, meaning you place an order and the Supplier confirms it in writing. If no transaction completes, you pay us nothing.
6.2 The commission (a percentage of the Supplier’s price for the Parts, or a fixed amount) is stated in writing in or with the Supplier Offer before you place an order. By placing an order you agree to pay it.
6.3 The commission is separate from the price of the Parts and is not included in the Supplier’s price unless the Supplier Offer says so.
6.4 We invoice the commission after the Supplier confirms your order. It is payable to us within 14 days of the invoice date, in the currency stated on the invoice. It is exclusive of VAT or any similar tax, which is added where applicable.
6.5 If the Supplier cancels the order or fails to deliver the Parts, and you are refunded for the Parts, we will refund our commission for that transaction.

7. Introductions and non-circumvention
7.1 You must not bypass us by dealing directly with a Supplier we introduced to you, for the Parts offered or for any other transaction arising from that introduction, for 12 months after the introduction. This protects our commission.
7.2 If you deal with an introduced Supplier directly in breach of this clause, you must pay us an amount equal to the commission we would reasonably have earned.
7.3 We will not bypass you by selling to your end customers directly on a transaction you brought to us, for the same period.
7.4 This clause does not apply to suppliers you already dealt with before our introduction, which you can show by written records.

8. Confidentiality
8.1 Each party must keep the other’s confidential information (including Supplier identities, prices, commission and customer details) confidential and use it only for the transaction.
8.2 Supplier identities may be withheld until you accept these terms and screening is complete.

9. Our responsibility
9.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited.
9.2 Subject to 9.1, we are not liable for the Parts, their condition, quality, authenticity or fitness for purpose, the Supplier’s performance, delivery, warranty or returns, the Supplier’s documents, transport or customs delays, or any loss of profit, aircraft-on-ground costs, loss of or damage to aircraft, or indirect or consequential loss. Claims about Parts are made against the Supplier under the Supplier’s terms.
9.3 Subject to 9.1, our total liability to you for anything arising from our services is limited to the commission you paid us on the transaction concerned.
9.4 We will give reasonable help if you need to make a claim against a Supplier, for example by passing on documents and communications.

10. Anti-bribery and integrity
10.1 Each party must comply with applicable anti-bribery laws, including the UK Bribery Act 2010, and must not offer, give, request or accept any improper payment or advantage.
10.2 We may terminate immediately if you breach this clause.

11. Fraud prevention
11.1 We never ask you to pay for Parts to us. Payment for Parts goes to the Supplier, using the bank details on the Supplier’s invoice. Our commission is invoiced separately by Jetvexa Limited, as set out in clause 6, and only for a transaction you have agreed. Bank details never change by email. Before paying anyone, confirm any change of bank details by phone, using contact details you already hold.
11.2 If you receive a message in our name that asks you to change payment details, or to pay us anything not agreed in writing in advance, treat it as fraud and contact us at yusuf@jetvexa.com immediately.
11.3 We are not liable for payments sent to an account that you have not verified in this way.

12. Data protection
Each party will comply with applicable data protection law. Our use of personal data is described in our Privacy Policy.

13. Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disaster, war, government action, sanctions, export or import restrictions, strikes, transport disruption, epidemic or failure of third parties.

14. Ending our relationship
Either party may stop using these terms for future transactions by written notice. Clauses 5, 6, 7, 8, 9, 10 and 11 continue to apply to transactions already begun and to introductions already made.

15. General
15.1 These terms and the Supplier’s terms are the entire agreement concerning our role. If they conflict about the Parts, the Supplier’s terms prevail.
15.2 Changes must be in writing. We may update these terms for future transactions by posting a new version.
15.3 Notices are given by email to the addresses on the Supplier Offer.
15.4 Only the parties may enforce these terms.
15.5 If a provision is invalid, the rest remains effective.
15.6 English is the governing language.
15.7 Offers, orders and confirmations are effective only when confirmed by email. Messages on WhatsApp or other messaging apps are for convenience and are not offers, orders or confirmations unless confirmed by email.

16. Governing law and disputes
16.1 These terms, and any non-contractual disputes, are governed by the laws of England and Wales.
16.2 The parties will first try to resolve disputes by senior-level discussion for 30 days.
16.3 Unresolved disputes are decided by the courts of England and Wales.
